Terms of Service
These Terms of Service (“Terms”) govern access to and use of CDRsocial at https://cdrgc.com (the “Service”), operated by CDR General Services (“we”, “us”). By signing in or using the Service, you agree to these Terms.
1. The Service
CDRsocial is a private tool for invited teams to create, review, schedule, and publish social-media content and to view related insights. It is not a consumer social network. There is no public sign-up: access is granted by invitation from an administrator.
2. Eligibility and accounts
You must be able to form a contract and must use the Service only for the organization that invited you. You are responsible for the credentials of your account and for activity that occurs under it. Notify us promptly if you believe an account has been compromised.
3. Connecting social accounts
You may connect third-party social accounts that you are authorized to manage. By connecting an account you instruct us to obtain and use tokens from that platform to publish content you submit and to retrieve information those APIs expose for the features you use. You can disconnect an account in the Service. We do not see or store the password you enter on the network’s own sign-in page.
Each network has its own rules, review processes, rate limits, and content policies. Approval of our developer application (for example TikTok Content Posting API or YouTube Data API) is controlled by that platform, not by us.
4. Your content
You retain ownership of content you upload or write in the Service. You grant us a limited licence to host, process, transmit, and publish that content solely to operate the Service and to deliver it to the social platforms you choose.
You represent that you have the rights to the content and to the accounts you connect, and that publishing will not infringe anyone else’s rights or break applicable law or the platform’s terms.
5. Publishing
Scheduling or approving a post authorizes us to send it to the selected networks at the chosen time. Delivery depends on those networks. A post may fail, be delayed, be shown as private, or be rejected because of platform rules, missing permissions, file format, or an unaudited developer app. We are not responsible for how a third-party platform displays, moderates, or removes content after it leaves the Service.
6. Acceptable use
You may not use the Service to:
- violate law or the terms of a connected social platform;
- publish spam, malware, or content that is illegal, deceptive, or infringing;
- attempt to access another workspace or account without authorization;
- probe, disrupt, or overload the Service except as part of agreed security testing; or
- resell access to the Service without our written permission.
7. Third-party services
Connected platforms and other third-party services are not under our control. Your use of them is governed by their terms and privacy policies. The Service may be unavailable if those APIs change, throttle, or revoke access.
8. Intellectual property
We and our licensors own the Service, including software, design, and trademarks (including CDRsocial). These Terms do not grant you any right to copy, modify, or reverse engineer the Service except as allowed by law.
9. Disclaimer
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that publishing will succeed on every network or that insights will be complete or error-free.
10. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost content, or lost goodwill, arising from the Service or from a third-party platform. Our total liability for claims relating to the Service is limited to the amount paid to us for the Service in the twelve months before the claim, or one hundred US dollars if no fee was paid.
11. Indemnity
You will defend and indemnify us against claims arising from your content, your connected accounts, or your breach of these Terms or of a platform’s rules.
12. Suspension and termination
We may suspend or end access if you breach these Terms, if a platform requires it, or if we discontinue the Service. You may stop using the Service at any time. Provisions that should survive (including intellectual property, disclaimers, and limitations of liability) remain in effect.
13. Changes
We may update these Terms. The effective date at the top of this page will change when we do. Continued use after an update constitutes acceptance of the revised Terms.
14. Governing law
These Terms are governed by the laws of the State of Louisiana, United States, without regard to conflict-of-law rules. Courts located in East Baton Rouge Parish, Louisiana will have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction.
